Position Summary:

The Senior Counsel position will assist the Chief Legal Officer and Assistant General Counsel with preparing, negotiating and managing a variety of contracts and legal documents for the Nashville Hockey Club, LP, Powers Management, L.L.C., Mid-Ice, LLC, and Sabertooth Sports & Entertainment, LLC, and the Nashville Predators Foundation (ā€œOrganizationā€).

Major Responsibilities/Activities:

  • Review and provide legal advice on all routine contracts and business arrangements for the Organization.
  • Draft and revise vendor/service, independent contractor, filming, and non-disclosure agreements for the Organization.
  • Clearly present and explain (and offer practical solutions regarding) contract conditions, details, opportunities and risks to internal business partners.
  • Act as point of contact on technology, content and data analytics agreements.
  • Drive and set consistent data privacy and security practices across the Organization.
  • Negotiate legal and business terms of technology-related commercial agreements (including software license agreement, professional services agreements, cloud services agreements, data licensing, vendor contracts, and partnership agreements) and maintain commercial templates that comply with company policies and applicable laws.
  • Develop and maintain expertise in the law and industry standards related to data use and analytics, including privacy, consumer protection, security, intellectual property, media, content and marketing.
  • Responsible for various matters related to intellectual property, including but not limited to policing and enforcing the Organizationā€™s intellectual property rights and ensuring that appropriate licensing rights are acquired for use of third-party intellectual property, as well as monitoring the Organizationā€™s social media use of music.
  • Responsible for assisting with corporate matters of the Organization including but not limited to ownership transactions and corporate governance, as needed.
  • Learn the business operations of various facilities and entities of the Organization, including making regular visits to those properties.
  • Support and manage marketing, branding and trademark business practices, including licensing the use of Organizationā€™s marks and training of other departments.
  • Collaborate with and advise other departments within the Organization to minimize risk and facilitate compliance issues to appropriate channels for investigation and resolution.
  • Draft, enhance, or implement policies and procedures to streamline operations.
  • Work with outside counsel where appropriate to receive legal opinions and resolve legal disputes.
  • Perform other duties as assigned by management.

Requirements:

  • JD from an accredited law school.
  • Licensed to practice law in the state of Tennessee (or otherwise able to meet the requirement to Register as In-House Counsel with the Tennessee Board of Law Examiners) and in good standing.
  • 7-10 years of post-JD legal experience in drafting contracts and experience related to management of legal risks associated with a variety of data analytics insights programs (including operational insights, internal business metrics and product improvement insights, customer-facing insights).
  • Strong preference given to prior sports and venue related experience.
  • Strong analytical and writing skills with attention to detail.
  • An appropriate balance of independence and collaboration with the ability to execute multiple, high-priority projects independently and on short timeframes.
  • Business acumen with the ability to balance legal risk with commercial needs of the Organization with a practical and solution-oriented approach.
  • Strategic and innovative thinker who can bring value to colleagues and find creative but practical business friendly approach to problem solving.
  • Possess a high degree of emotional intelligence and be able to effectively interact at all levels within the Organization.
  • Must be adaptable with the ability to work under pressure to meet deadlines and manage and prioritize projects.
  • Strong verbal and written communication skills, with an expert ability to present and communicate complex legal matters to non-attorneys.
  • Self-assured and confident in a variety of settings with a strong belief in own capabilities.
  • Upbeat temperament, dynamic personality and highly collaborative.
  • Valid driverā€™s license, possess a suitable driving history, be insurable by Organizationā€™s insurance carrier and have reliable transportation.
  • As a condition of employment, qualified applicant will be subject to a background check, including a criminal history check, driving history and character references.

Essential Physical Functions:

  • High finger dexterity for typing.
  • Exposure to bright lights, extreme temperatures and loud noise.
  • Excellent speaking and listening skills, requiring the perception of speech.
